Terms of Service

These terms govern your use of ProBooksApp. By creating an account or using the service, you agree to them.
1. Acceptance
By accessing or using ProBooksApp, you agree to these Terms of Service and to our Privacy Policy. If you use the service on behalf of a firm, you represent that you are authorized to bind that firm.
2. The service
ProBooksApp provides software for document intake, bookkeeping, Canadian tax preparation, invoicing, payments and e-signatures. We may add, change or remove features to improve the service.
3. Accounts & eligibility
You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account, and must notify us promptly of any unauthorized use.
4. Acceptable use
- Don’t use the service unlawfully or to store content you have no right to store.
- Don’t attempt to breach security, disrupt the service, or access data that isn’t yours.
- Don’t reverse-engineer or resell the service except as permitted by law.
5. Your data & responsibilities
You retain ownership of the documents and data you upload, and grant us the limited rights needed to host and process that data to provide the service. You are responsible for the accuracy of the financial and tax information you prepare — ProBooksApp is a tool, not a substitute for professional judgment, and does not provide accounting, tax or legal advice.
6. Fees & billing
Paid plans are billed per firm on a recurring basis through our payment processor. Unless stated otherwise, fees are non-refundable for the current billing period. You can cancel at any time; access continues until the end of the paid period.
7. Third-party services
The service integrates with third parties (for example, payment processing). Your use of those features may be subject to the third party’s terms.
8. Intellectual property
ProBooksApp and its software, design and trademarks are owned by us. These terms don’t grant you rights to our brand or code except the right to use the service.
9. Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind to the fullest extent permitted by law. We don’t warrant that the service will be uninterrupted or error-free.
10. Limitation of liability
To the fullest extent permitted by law, ProBooksApp will not be liable for indirect, incidental or consequential damages, and our total liability is limited to the fees you paid for the service in the twelve months before the claim.
11. Termination
You may stop using the service at any time. We may suspend or terminate access for breach of these terms or to comply with law, and will give reasonable notice where practical.
12. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.
13. Changes
We may update these terms; material changes are reflected by the “Last updated” date above. Continued use after a change means you accept it.
